Pinnacle Impact Studio Terms of Service
Effective date: September 28, 2026
These Terms of Service (the "Terms") govern your access to and use of pinnacleimpactai.com (the "Website") and any products, materials, and services provided by or through it (together, the "Services"). The Services are offered by Pinnacle Impact Marketing LLC, doing business as Pinnacle Impact Studio ("we," "us," "our," or the "Company").
Please read Section 16 (AI limitations and emergencies), Section 18 (Limitation of liability), and Section 21 (Disputes, arbitration, and class action waiver) carefully. They limit our liability to you and affect how disputes between us are resolved.
1. Your agreement to these Terms
By accessing or using the Services, or by clicking "accept" or "agree" where prompted, you agree to be bound by these Terms, on your own behalf and on behalf of any business you represent. If you do not agree, do not use the Services.
2. Who may use the Services
To use the Services you must be at least 18 years old and located in the United States. Our Services are offered only in and directed only to the United States. You represent that you meet these requirements and that you have the authority to accept these Terms for yourself and for any business you represent.
3. How these Terms fit with our other agreements
These Terms govern your use of the Website and your general relationship with us.
If you are a paying client, a separate signed Service Agreement and order form govern the services we deliver to you, including scope, fees, term, cancellation, data handling, and liability. Where a signed Service Agreement conflicts with these Terms, the signed Service Agreement controls for that client.
Our Privacy Policy (https://pinnacleimpactai.com/privacy-policy-LS) is part of these Terms.
4. Changes to these Terms
We may change these Terms from time to time. Except for changes made for legal or administrative reasons, we will give reasonable advance notice before changes take effect, and we will update the effective date above. Changes apply to your use of the Services from the date they take effect. Your continued use after that date means you accept the change.
5. The Services, and changes to them
The Services will change over time as we refine and add features. We may modify, suspend, withdraw, or discontinue any part of the Services at any time. We will give reasonable notice of any change that materially reduces functionality you are actively paying for. Except as stated in a signed Service Agreement, we are not liable to you or any third party if the Services are unavailable, in whole or in part, at any time.
6. Accounts and account security
Some parts of the Services require an account. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for keeping your password confidential and for all activity under your account. Do not share your credentials, and do not transfer your account without our written permission. Notify us immediately at [email protected] if you suspect unauthorized use of your account.
We may suspend or terminate an account if we reasonably believe these Terms have been violated, if the account presents a security or legal risk, or for non-payment.
7. Acceptable use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
• Violate law or contract. Break any applicable law or regulation, including telemarketing, anti-spam, consumer-consent, intellectual property, privacy, and publicity laws, or any contractual obligation.
• Send unsolicited communications. Send unsolicited or unauthorized advertising, promotional material, spam, or junk mail.
• Impersonate. Misrepresent who you are or your affiliation with any person or organization.
• Harm minors. Exploit or harm minors in any way, including by exposing them to inappropriate content or collecting their personal information.
• Interfere with the Services. Use any device, software, or routine that disrupts, disables, overburdens, or impairs the Services or the networks and servers behind them.
• Scrape or harvest. Use robots, spiders, crawlers, scrapers, or similar automated means to copy, monitor, or extract any part of the Services, or to collect information about other users.
• Introduce malicious code. Upload or transmit viruses or any other material designed to damage or alter any system or data.
• Attack security. Attempt to gain unauthorized access to the Services or any connected system, or get around any security measure or access control.
• Reverse engineer. Reverse engineer, decompile, or otherwise try to derive the source code or underlying structure of the Services.
• Harass. Harass or interfere with anyone else's use of the Services, or expose us or other users to liability.
• Assist others. Attempt any of the above, or help, permit, or encourage anyone else to.
8. Calls, text messages, AI, and recording
8.1 Text messaging program
This program sends SMS notifications, alerts, and occasional marketing communications to people who have opted in to receive them. We send text messages only to people who have given us permission. Providing your phone number for some other purpose is not, by itself, consent to receive marketing texts, and consent is never a condition of purchase.
• You can cancel at any time. Reply STOP to any message from us. We will send one confirmation message and then stop. To rejoin, sign up the same way you did the first time.
• If you have trouble with the messaging program, reply HELP, or contact us at [email protected] or +1 656-333-7593.
• Carriers are not liable for delayed or undelivered messages.
• Message and data rates may apply to messages sent to you from us and to us from you. Message frequency varies. For questions about your text or data plan, contact your wireless provider.
• NO mobile information will be shared with third parties or affiliates for marketing or promotional purposes. For privacy-related inquiries, see our Privacy Policy (https://pinnacleimpactai.com/privacy-policy-LS).
8.2 AI-assisted communications
Our phone line and website chat are answered by AI assistants. When you call, text, or chat with us, you may be interacting with an AI rather than a person. We tell you this at the start of the conversation, and you can ask to reach a person at any time.
8.3 Call recording
Calls to our AI phone line are recorded and may be transcribed for quality, training, and booking accuracy. We tell you this at the start of the call. If you do not want to be recorded, you can end the call and contact us by email instead. Calls placed by our team are not recorded unless we ask and you agree at the start of the call. See our Privacy Policy for how recordings are handled.
8.4 If you use our Services to communicate with your own customers
This section is important. If you use the Services to call, text, or email your own customers, you are solely responsible for the lawfulness of those communications. You represent and warrant that:
• You have obtained, and can document, every consent required for each phone number, email address, and contact you give us or load into the Services, including any consent required for automated calls, prerecorded or AI-generated voice, text messages, and call recording in the recipient's location.
• You will not use the Services to contact numbers or addresses obtained from purchased, rented, scraped, or otherwise undocumented lists.
• You will honor opt-out requests promptly and will not try to re-contact anyone who has opted out.
• You will provide the disclosures required where you and your customers are located, including AI and call-recording disclosures, and will not remove or alter the disclosures we build into your agents.
We may suspend or terminate your access immediately, without notice and without refund, if we reasonably believe you have breached this Section. Compliance with communications law is your responsibility; we provide tools and standard disclosure language, not legal advice.
9. Purchases, plans, and billing
9.1 Purchasing
When you check out, you will be directed to a third-party payment processor where you provide your contact and payment details. Review your order carefully before you submit it. Submitting an order forms a contract and obligates you to pay the price, taxes, and any other fees shown on the order page. You will receive a receipt by email.
If the Service you purchase requires information from you, such as business details, hours, service area, or call-handling preferences, you agree to provide it promptly so we can deliver what you bought.
9.2 Prices, taxes, and payment
Prices, taxes, and any additional costs are shown before you submit your order. Payment is processed by a third-party provider. We do not collect or store payment card details; we receive only confirmation that a payment succeeded. If a payment fails or is refused, we are not obligated to provide the Service. You do not acquire the right to use a purchased Service until payment has been received.
9.3 Monthly and annual plans
Subscriptions provide Services on a continuing basis and begin on the day we receive payment. Monthly plans run month to month. Annual plans run for the full year you selected at checkout and cannot be ended early; you keep access through the end of the paid year.
9.4 Setup fees
Where a setup fee applies, it is shown before you purchase. The setup fee covers configuration and build work at the start of your service and is non-refundable once we have begun that work, unless the written terms of the offer you accepted say otherwise.
9.5 Price changes
We may change our prices for new purchases at any time. We will give you at least 30 days' written notice before a price change applies to your active subscription, and the new price will apply from your first billing date after that notice period ends. The price of an annual plan does not change during the paid year. Where the written terms of a specific offer you accepted state your price, that price applies as stated.
9.6 Automatic renewal
Subscriptions renew automatically and are charged to the payment method you used at purchase unless you cancel. Monthly plans renew each month. Annual plans renew for another year; we will email you a reminder at least 30 days before an annual renewal explaining how to cancel.
9.7 Cancellation
To cancel, send a clear cancellation request to [email protected]. For a monthly plan, cancellation takes effect at the end of the month you have already paid for: you will not be charged again, and your service ends the day after that paid month ends. For an annual plan, cancelling stops the next renewal; your service continues through the end of the paid year.
9.8 Refunds
All fees are non-refundable, except (a) as stated in the written terms of a specific offer you accepted at purchase, or (b) as required by law. Cancelling stops future charges; it does not refund charges already made.
9.9 Failed or late payment
If a payment fails, we may retry it, and we may suspend the Services until payment is resolved. We will give you reasonable notice before suspending an active account for non-payment.
10. Referral Program
We pay a bonus when someone refers a new client to us. These terms apply to every referral.
10.1 Who can refer
Anyone 18 or older, and any business or organization, can refer. You do not need to be our client.
10.2 What counts as a referral
A referral counts when a business that is not a current or former client of ours signs up for a paid plan and names you as its referrer when it signs up. If more than one person claims the same business, the first person the business names is the referrer. Each referred business earns one bonus.
10.3 The bonus
The bonus is $100 for each qualifying referral. There is no limit on how many referrals you can make.
10.4 When it is earned
A bonus is earned once the referred business has stayed an active, paying client past its first month: for a monthly plan, when its second monthly payment has been received; for an annual plan, 30 days after its first payment. A bonus is not earned if the referred business's payment is refunded, reversed, or disputed.
10.5 How it is paid
We send earned bonuses within 30 days, by Cash App, Zelle, PayPal, or a similar method we agree with you, once we have the information we need to pay you. We may ask for your legal name, mailing address, and tax information before paying. You are responsible for any taxes on bonuses you receive.
10.6 Rules
• You cannot refer yourself or a business you own.
• If you work for the business you refer, you confirm that its owner knows about and allows you to receive the bonus. We may ask the owner to confirm before paying.
• Do not promote the program with unsolicited text messages, automated or prerecorded calls, or spam, and do not make promises or claims about our services on our behalf. Referrers are not our agents and cannot bind us.
• If you share the program publicly, for example on social media or a website, you must clearly say that you receive a bonus for referrals.
• We may decline to pay, or cancel a bonus, if we reasonably believe a referral was fraudulent or broke these rules.
10.7 Changes to the program
We may change or end the Referral Program at any time for future referrals by updating these Terms. Bonuses already earned before a change will still be paid.
11. Our intellectual property
11.1 Ownership
All intellectual property rights in the Services and their content, features, and functionality, including text, graphics, logos, scripts, prompts, workflows, configurations, templates, and know-how (the "Content"), are owned by us, our licensors, or other providers. Neither these Terms nor your use of the Services transfers any of those rights to you. All rights not expressly granted are reserved.
11.2 Your license
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content for your own internal business purposes in evaluating and using the Services. This license ends when you stop using the Services or when these Terms end.
11.3 Restrictions
• No copying or distribution. Do not copy, reproduce, publish, display, perform, post, transmit, or distribute any part of the Content, except as a feature of the Services allows.
• No modification. Do not modify, translate, adapt, or create derivative works from the Content.
• No exploitation. Do not sell, license, sublicense, transfer, rent, lease, loan, host, or otherwise commercially exploit the Content or the Services.
• No altering notices. Do not remove or alter any copyright, trademark, or other proprietary notice.
• No competitive use. Do not use the Content to build a competing website, product, or service.
11.4 Trademarks
Trademarks, logos, and service marks shown on the Services belong to us or to third parties. Do not use them without the owner's prior written consent.
12. Your submissions and feedback
12.1 What this section covers, and what it does not
If the Services offer a feature that lets you post content others can see, such as a review or comment, that content is "User Content." You are responsible for your User Content, it is treated as non-confidential, and it must meet the Content Standards below.
Your calls, text messages, chats, emails, voicemails, recordings, transcripts, and the business information you give us to set up your services are not User Content and are not covered by the license in Section 12.2. We handle those under our Privacy Policy and, for clients, under the signed Service Agreement. We will not publish or use your communications or recordings in our marketing without your separate written permission.
12.2 License to User Content
For User Content only, you grant us a non-exclusive, royalty-free, worldwide, transferable license to host, store, reproduce, display, and distribute it in connection with operating and promoting the Services. You can end this license for a piece of User Content by deleting it, except where it has already been shared with others. You represent that you have the rights needed to grant this license.
12.3 Content Standards
User Content must not:
• Violate any law or regulation, or any contractual or fiduciary obligation
• Promote or assist any illegal activity, or create a risk of harm to any person or property
• Infringe anyone's copyright, trademark, patent, trade secret, or other rights
• Be defamatory, harassing, threatening, hateful, obscene, or invasive of another person's privacy
• Promote sexually explicit material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Be false, intentionally misleading, or likely to deceive, including impersonating anyone
• Suggest that it is provided, sponsored, or endorsed by us when it is not
12.4 Monitoring and enforcement
We are not obligated to review User Content before it appears, but we may remove or reject any User Content, report it to law enforcement, disclose it or your identity to comply with law, or suspend or terminate your access.
12.5 Feedback
If you send us feedback or suggestions about the Services, you agree we may use them without restriction or payment. Please do not send us anything you consider confidential.
13. Copyright complaints
We respect the intellectual property of others and will terminate the accounts of repeat infringers. If you believe your work has been copied in a way that constitutes infringement, send our designated agent:
• A physical or electronic signature of the copyright owner or an authorized representative
• A description of the copyrighted work you claim has been infringed
• A description of the allegedly infringing material and where it is located
• Your contact information, including address, telephone number, and email address
• A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
Designated copyright agent: Steven Van Epps, Pinnacle Impact Marketing LLC, 7901 4th St N #34720, St. Petersburg, FL 33702 US, [email protected].
14. No guarantee of results
Any figures, examples, calculators, projections, or scenarios shown on the Services are illustrative only. They are not predictions, promises, or guarantees. We do not guarantee any number of calls answered, messages delivered, appointments booked, leads generated, jobs won, reviews collected, revenue, or return on investment. Results depend on your market, your offer, your pricing, your follow-up, and many factors outside our control.
Where we offer a specific written guarantee for a specific service, the terms of that guarantee are stated with it and govern. No other guarantee, express or implied, applies.
Nothing on the Services is legal, tax, insurance, licensing, financial, or other professional advice.
15. Service availability and third-party platforms
The Services depend on third-party platforms and providers, including customer relationship management, telephony, messaging, artificial intelligence, payment, email, and calendar providers. Their availability, performance, pricing, and terms are outside our control, and outages or changes at those providers can interrupt the Services. We do not promise any level of uptime, response time, or availability except as expressly stated in a signed Service Agreement.
16. AI limitations, and no reliance in emergencies
Automated systems are not perfect. The Services use artificial intelligence, speech recognition, automated call routing, and automated messaging. These systems can mishear, misunderstand, misroute, respond inaccurately, fail to answer, or become unavailable, including because of an outage at a provider we depend on. Do not assume that every call or message will be answered, understood correctly, transcribed accurately, routed as intended, or delivered at all.
The Services are not an emergency service. Our AI assistants cannot contact emergency services and are not a substitute for calling 911 or reaching a qualified professional directly. If there is danger to life, health, or property, call 911 or the appropriate emergency number.
If you use the Services to handle calls from your own customers, you are responsible for making sure your customers are directed to emergency services when needed, and for keeping your own way for urgent calls to reach a person. We are not liable for any loss, damage, injury, or delay resulting from a call or message that was not answered, was answered incorrectly, or was not routed as expected.
17. Disclaimer of warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND YOUR USE OF THEM IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE PROVIDE THE SERVICES WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR WILL BE AVAILABLE AT ANY PARTICULAR TIME, UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR MEMBERS WILL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF USE, REVENUE, PROFIT, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, UNDER ANY LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME STATES DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.
19. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its members, officers, employees, agents, affiliates, successors, and permitted assigns from any claims, damages, liabilities, penalties, judgments, settlements, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: your breach of these Terms; your use or misuse of the Services; your User Content; any action taken by a third party using your account; or any communication you send, or cause to be sent, to your own customers through the Services, including any claim under telemarketing, anti-spam, call-recording, or consumer-consent law. We may assume exclusive defense and control of any such matter at your expense, and you agree to cooperate.
20. Termination
We may suspend or terminate your access to the Services, with or without notice, for breach of these Terms, for legal or security risk, or for non-payment. You may stop using the Services at any time; if you have a paid subscription, cancellation is governed by Section 9.7.
Provisions that by their nature should survive termination survive it, including ownership, warranty disclaimers, limitation of liability, indemnification, and disputes. Termination does not relieve you of obligations that arose before it.
21. Disputes, arbitration, and class action waiver
21.1 Talk to us first
Before starting a formal proceeding, please contact us at [email protected] with a short description of the problem and what you want. Both of us agree to try in good faith to resolve it for 30 days before filing anything.
21.2 Governing law
These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
21.3 Arbitration
If we cannot resolve a dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration before a single arbitrator administered by the American Arbitration Association under its applicable rules, seated in Hillsborough County, Florida. This obligation binds both of us equally. Each party bears its own attorneys' fees and costs unless the arbitrator decides otherwise or applicable law provides otherwise. Either party may instead bring an individual claim in small claims court if it qualifies, and either party may ask a court for an injunction to protect intellectual property or stop unauthorized access to the Services.
21.4 Your right to opt out of arbitration
You can opt out of Section 21.3. Email us at [email protected] within 30 days of first accepting these Terms, with your name and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms or your relationship with us.
21.5 Class action and jury trial waiver
YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. BY ACCEPTING THESE TERMS YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. If a court finds this paragraph unenforceable as to a particular claim, that claim alone is severed from arbitration and may proceed in court.
21.6 Venue if arbitration does not apply
If a dispute is not subject to arbitration, it must be brought only in a state or federal court located in Hillsborough County, Florida, and you consent to that jurisdiction.
21.7 Time limit
ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER IT ARISES, OR IT IS PERMANENTLY BARRED, EXCEPT WHERE APPLICABLE LAW DOES NOT ALLOW A SHORTER PERIOD.
22. General
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us about your use of the Website. They do not replace a signed Service Agreement, which controls as described in Section 3.
Waiver. Our failure or delay in enforcing any right is not a waiver of it.
Severability. If any provision is held invalid or unenforceable, the rest remains in effect.
Assignment. You may not assign these Terms without our written consent. We may assign them freely.
No agency. These Terms do not create a partnership, joint venture, employment, or agency relationship.
Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, utility or network outages, and third-party platform failures.
Notices. We may give you notice by email or by posting on the Website. You may give us notice at the email or mailing address in Section 23.
